These Terms of Service ("Terms") govern your use of HeadCrowd Studio's services and client portal. By accessing the portal or engaging HeadCrowd Studio for services, you agree to these Terms.
HeadCrowd Studio provides web design, development, and hosting services, as well as access to a client portal for project management and communication. The specific scope of work for your engagement is set out in your project brief or statement of work.
Invoices are due on the date specified. One-time project invoices must be paid before the corresponding deliverable is handed off. Recurring subscription fees are charged on the billing date shown in your portal. Overdue balances may result in paused work until cleared. All amounts are in Canadian dollars and include applicable taxes.
You are responsible for: (a) providing accurate, timely content and feedback as requested; (b) ensuring the accuracy of information in your project brief; (c) responding to approval requests within five business days unless otherwise agreed. Delays caused by late feedback may affect project timelines without penalty to HeadCrowd Studio.
HeadCrowd Studio will deliver work as scoped in your agreement, communicate progress through the portal, and keep your project data confidential.HeadCrowd Studio does not guarantee specific search engine rankings, traffic outcomes, or business results from delivered work.
HeadCrowd Studio retains ownership of the portal platform, its codebase, and all reusable internal tooling. Upon full payment of all outstanding invoices for a project, ownership of the custom deliverables specific to that project (website code, design files) transfers to you. Stock assets, third-party libraries, and platform infrastructure are licensed, not transferred.
Either party may terminate an engagement with 14 days' written notice. You are responsible for payment of all work completed up to the termination date. HeadCrowd Studio may suspend portal access immediately for non-payment or material breach.
To the maximum extent permitted by law, HeadCrowd Studio's total liability for any claim arising from these Terms is limited to the amount you paidHeadCrowd Studio in the 90 days preceding the claim. HeadCrowd Studio is not liable for indirect, incidental, or consequential damages including lost revenue or data loss.
These Terms are governed by the laws of Alberta, Canada. Any dispute will be resolved in the courts of Alberta, Canada.
Before initiating legal proceedings, both parties agree to attempt resolution in good faith through direct communication for at least 30 days. Contact us at hello@headcrowdstudio.com.
HeadCrowd Studio may update these Terms. Material changes will be communicated via the portal. Continued use after the effective date constitutes acceptance.
